Bunker Hill shareholders approved the charter amendment and share issuance for its proposed Silver47 combination on October 28, according to the company's release that day. Bunker Hill also said it had completed drawdowns under its Ocean Partners and Teck facilities, reporting US$20 million in aggregate proceeds from the facilities. The company continues to target commercial production at its Idaho mine by the end of the fourth quarter of 2026.

If you own Bunker Hill, traded as BNKR on the TSX and BHLL on the OTCQB, the vote moves the combination closer to completion. But what remains between approval and ownership of the combined business? Bunker Hill's September 29 SEC report describes a statutory plan of arrangement under British Columbia law. The October 28 release says closing still depends on customary conditions, including final court and stock exchange approvals. Management anticipates closing on or about November 5, subject to those conditions. We would keep that distinction in your calendar: shareholders have approved the resolutions, while completion remains conditional.

Your percentage ownership changes if the transaction closes. The companies' joint August 21 announcement set an exchange ratio of 0.1724 Bunker Hill shares for each Silver47 share. It estimated existing Bunker Hill holders would own approximately 57% of the combined company on a basic basis, with Silver47 holders owning the balance. That is the original ownership estimate, rather than a final closing share count. The proposed combination adds a US exploration and development portfolio to the operating Idaho mine. We see the appeal of using mine cash flow to develop that portfolio, but your smaller percentage must earn its return from a larger business that still has to deliver.

For the immediate ramp-up, the October 28 funding update says the proceeds will support plant mechanical optimization, underground development and working capital through the first concentrate sales cycles. Ocean Partners' US$10 million concentrate prepayment facility is fully drawn; Bunker Hill also says it drew the remaining US$2 million under the Teck standby facility. These are proceeds received under financing arrangements, so we would not count the aggregate as an undrawn reserve or equate it with today's cash balance. For your shares, the benefit is funding received for the final ramp-up; delays could consume that working capital without remaining availability under these facilities.

In Agnico Eagle Backs White Gold Spinout With C$1 Million, we followed the conditions between an investment and the work it can fund. Here, our operating test is sustained production. In the same October 28 update, Bunker Hill reports average plant throughput above 1,100 tonnes a day, explicitly excluding downtime. That qualification leaves plant availability central to the year-end target. We want the mine to turn operating progress into dependable sales receipts before treating the planned reinvestment of cash flow as established funding for the wider portfolio.

We will watch for conditional closing around November 5 and evidence of commercial production by the end of 2026.
